Terms of Service

These Terms of Service (“Terms”) govern access to and use of the Globalesm One platform at one.globalesm.com (the “Service”), operated by Globalesm, Inc. (“Globalesm”, “we”, “us”). By creating an account or using the Service you agree to these Terms on behalf of yourself and, if you act for a company, on behalf of that company (your “Organization”).

1. The Service

Globalesm One is an operations platform for consulting businesses: time tracking, project and client management, invoicing, expenses, contractor management, HR records, cloud cost visibility, integrations, and AI-assisted features. We may improve or modify the Service over time; we will not materially reduce its core functionality during a paid subscription period without notice.

2. Accounts and Organizations

  • You must provide accurate registration information and keep your credentials confidential. You are responsible for all activity under your account.
  • New Organizations are reviewed before activation. We may decline or revoke access at our discretion, including for suspected abuse or misrepresentation.
  • The Organization’s administrators control membership, roles, and data within the Organization, including inviting and removing users.

3. Trials, Subscriptions, and Payment

  • New Organizations receive a 14-day free trial. When the trial ends, continued use requires an active subscription.
  • Subscriptions are billed monthly per active user seat through our payment processor, Stripe. Seat counts are reviewed automatically and prorated when they change.
  • Fees are non-refundable except where required by law. You may cancel at any time; the subscription remains active until the end of the current billing period.
  • We may change pricing with at least 30 days’ notice before the change applies.

4. Your Data

  • Content your Organization submits to the Service (time entries, clients, projects, invoices, HR records, documents, and similar) is “Customer Data”. Your Organization owns its Customer Data.
  • You grant us the rights necessary to host, process, transmit, and display Customer Data solely to provide and support the Service.
  • Each Organization’s data is logically isolated, including database row-level security enforced per Organization.
  • You can export your data and request deletion at any time from Settings → Privacy. Our Privacy Policy describes how we handle personal data.

5. AI Features

Some features use third-party large language models to process the content you submit to them (for example, the in-app assistant and connected AI clients). AI output may be inaccurate; review it before relying on it for business, financial, or legal decisions. We do not use your Customer Data to train our own or third-party foundation models.

6. Acceptable Use

You agree not to:

  • use the Service unlawfully or to store or transmit unlawful material;
  • probe, scan, or test the vulnerability of the Service without written permission;
  • interfere with other Organizations’ use of the Service or attempt to access their data;
  • resell or provide the Service to third parties as your own offering without our agreement;
  • use the Service to send spam or other unsolicited communications.

7. Third-Party Integrations

The Service can connect to third-party products you choose (for example Jira, Stripe, Gusto, banking providers, calendars, or MCP-compatible AI clients). Those products are governed by their own terms, and you authorize us to exchange data with them on your behalf when you connect them. We are not responsible for third-party products.

8. Intellectual Property

We own the Service, including its software, design, and branding. These Terms grant your Organization a limited, non-exclusive, non-transferable right to use the Service during the subscription term. Feedback you provide may be used to improve the Service without obligation to you.

9. Confidentiality and Security

We maintain administrative, technical, and physical safeguards designed to protect Customer Data, including encryption in transit and at rest, role-based access control, audit logging, and per-Organization isolation. No system is perfectly secure; you are responsible for maintaining the confidentiality of credentials and for the accuracy of data you submit.

10. Termination

  • You may stop using the Service and cancel at any time.
  • We may suspend or terminate access for material breach of these Terms, non-payment, or where required by law. Where practical, we will notify you and allow a reasonable cure period.
  • After termination, you may request an export of your Customer Data for 30 days, after which we may delete it in the ordinary course of operations.

11. Disclaimers

The Service is provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. The Service supports - but does not replace - your own accounting, tax, payroll, and legal obligations.

12. Limitation of Liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or revenue. Our total aggregate liability arising out of the Service is limited to the amounts your Organization paid us in the 12 months before the event giving rise to the claim.

13. Governing Law

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Florida, and each party consents to their jurisdiction.

14. Changes to These Terms

We may update these Terms from time to time. For material changes we will give at least 14 days’ notice by email or in-app notice. Continued use of the Service after a change takes effect constitutes acceptance.
